Photoshop running background / MAC OS

Hi:
I'm new to both PS and Macs. I have tried to install CS6 upgrade from CS5 but it wont let me because "photoshop is running in the background." PS is shutdown but apparently it has some background process going. How do I shut that down on a MAC?
